The short version. This site is information, not advice and not an offer. If you send us a pitch, a deck, an idea or a plan, it is not confidential, we can use and share it however we see fit, and we may already be working on something like it. We set no cookies and run no analytics. The only personal data we hold is what you choose to email us.

1. Who we are and what this covers

This website, alanicapital.com (the "Site"), is operated by alani capital LLC, a limited liability company organized under the laws of the State of Hawaii ("alani capital", "we", "us"). These terms of use and this privacy policy (together, the "Terms") govern your access to and use of the Site and any content, information or materials made available on or through it (the "Materials"), and any information or materials you send to us by any means, whether or not through the Site.

By using the Site, or by sending us anything, you accept these Terms. If you do not accept them, do not use the Site and do not send us anything. We may change these Terms at any time by posting a revised version here with a new effective date; continued use after that date is acceptance of the change.

You must be at least 18 years old to use the Site or to send us anything.

2. Unsolicited submissions

alani capital receives a large volume of business plans, pitch decks, ideas, proposals, financial information and related materials, by email, through introductions, at events and by other means. Many of these resemble one another, and some resemble businesses we are already evaluating, advising, building or invested in. This section applies to anything you send us or share with us, in any form and by any channel, that is not the subject of a separate written agreement signed by an authorized representative of alani capital that expressly says otherwise ("Submissions").

Please read this before sending us anything you consider confidential or proprietary.

  1. Not confidential. Submissions are not confidential, however they are marked, labelled, described or transmitted. We accept no obligation of confidentiality, non-use or non-disclosure with respect to any Submission, and no such obligation arises from our receipt, review or acknowledgment of it.
  2. Free use. By making a Submission you grant alani capital and its affiliates a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable right to use, reproduce, store, evaluate, discuss, adapt, share, disclose and otherwise act on the Submission for any purpose, in any manner, in our sole discretion. This includes sharing it with our members, partners, employees, advisors, service providers, portfolio companies, co-investors and prospective co-investors.
  3. No compensation or credit. We owe you nothing for a Submission: no payment, royalty, attribution, acknowledgment or other consideration, now or in the future.
  4. No restriction on us. Nothing in a Submission limits or restricts alani capital from pursuing, developing, financing, advising, investing in or otherwise participating in any business, opportunity, product or idea, alone or with anyone else, including one that is the same as or similar to yours, whether that activity began before or after your Submission and whether or not it was informed by it.
  5. Not returned, not retained on request. We do not return Submissions, and we are under no obligation to keep, delete, review, evaluate, respond to or act on a Submission.
  6. Your responsibility. You represent and warrant that you have all rights necessary to make the Submission, that it does not contain the confidential information or trade secrets of any third party, and that making it does not breach any obligation you owe to anyone, including an employer, a co-founder, an investor or a counterparty to a non-disclosure agreement.
  7. No relationship. A Submission does not create, and our receipt or review of it does not create, any confidential, fiduciary, advisory, contractual, partnership, joint-venture or other relationship between you and alani capital.
  8. Release. To the fullest extent permitted by law, you release and waive any claim against alani capital, its affiliates and its members, partners, employees, agents and advisors arising out of or relating to our receipt, review, use, disclosure or non-use of a Submission, or to any similarity between a Submission and anything we or our portfolio companies do.

If you consider something confidential, do not send it to us. If you believe a particular disclosure requires protection, ask us for a written agreement before you share it. Until one is signed by us, this section applies.

3. Not advice, not an offer

Nothing on the Site or in the Materials is, or should be taken as, investment, legal, tax, accounting, business or other professional advice, or an offer to provide such advice. Nothing on the Site or in the Materials constitutes an offer to sell, or a solicitation of an offer to buy, any security, interest in any fund, or other financial instrument, in any jurisdiction. Any such offer or solicitation will be made only through definitive offering documents, and only to persons eligible to receive them.

The Materials are not directed at, and are not intended for, any current or prospective investor in any fund or vehicle managed or advised by alani capital. Nothing here should be relied upon in making an investment decision.

4. Site materials and forward-looking statements

The Materials are provided for general information. They may be incomplete, out of date or inaccurate, and we are under no obligation to update or correct them. Some Materials derive from third parties, portfolio companies or public sources and have not been independently verified by us. We are frequently bound by confidentiality obligations to funds, investors, portfolio companies and others, which may prevent us from making complete disclosures; read anything we say with that in mind.

Any reference to a company, investment or outcome is illustrative only and is not a representation about the performance of any fund or of alani capital as a whole. Past performance is not indicative of future results, and there is no assurance that any future investment will be profitable or will achieve comparable results. Statements about future events, expectations or intentions are forward-looking, rest on assumptions that may prove incorrect, and involve risks and uncertainties that could cause actual outcomes to differ materially. We undertake no obligation to update forward-looking statements.

5. Intellectual property

The Site and the Materials, including their text, design, layout, graphics, code and selection and arrangement, are owned by alani capital or its licensors and are protected by copyright, trademark and other laws. The name alani capital, the alani capital wordmark and the "a" monogram are trademarks of alani capital LLC. Nothing here grants you any license or right in any of them.

You may view the Site and print or download a single copy of Materials for your own non-commercial reference, provided you keep all proprietary notices intact. Any other use, including copying, republication, framing, scraping, modification or distribution, requires our prior written consent.

6. Acceptable use

You may not use the Site in any way that is unlawful, that interferes with its operation or security, or that harms alani capital or anyone else. Without limiting that, you may not attempt to gain unauthorized access to any system, probe or test the Site's vulnerabilities, introduce malicious code, use automated means to collect data from the Site beyond what public search engines do, misrepresent your identity or affiliation, or use the Site or the Materials to send unsolicited communications.

7. Third-party sites

The Site may link to websites or resources we do not control. Links are provided for convenience only and are not an endorsement. We are not responsible for the content, accuracy, availability, security or privacy practices of any third-party site, and your use of one is at your own risk and subject to its terms.

8. No warranty

The Site and the Materials are provided "as is" and "as available", without warranty of any kind, express, implied or statutory, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, or that the Site will be uninterrupted, timely, secure or free of errors or harmful components. You use the Site and rely on the Materials entirely at your own risk.

9. Limitation of liability

To the fullest extent permitted by law, alani capital and its affiliates, and their respective members, managers, partners, officers, employees, agents, advisors and representatives (the "alani capital parties"), will not be liable to you or anyone else for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or opportunity, arising out of or relating to the Site, the Materials, any Submission, or these Terms, however caused and under any theory of liability, even if advised of the possibility of such damages. To the fullest extent permitted by law, the aggregate liability of the alani capital parties for all claims arising out of or relating to the Site, the Materials, any Submission or these Terms will not exceed one hundred United States dollars (US$100).

Some jurisdictions do not allow certain exclusions or limitations. Where that is so, the alani capital parties' liability is limited to the greatest extent the law allows.

10. Indemnification

You agree to defend, indemnify and hold harmless the alani capital parties from and against any claim, demand, loss, liability, damage, cost or expense, including reasonable attorneys' fees, arising out of or relating to your use of the Site or the Materials, any Submission you make, any breach of these Terms, or any violation of law or of the rights of any third party.

11. Governing law and disputes

These Terms, and any dispute, claim or controversy arising out of or relating to them, the Site, the Materials or any Submission (a "Dispute"), are governed by the laws of the State of Hawaii and the Federal Arbitration Act, without regard to conflict-of-laws principles.

Arbitration

Except as set out below, any Dispute will be resolved exclusively by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, before a single arbitrator, seated in Honolulu, Hawaii. Judgment on the award may be entered in any court of competent jurisdiction. You and alani capital each waive the right to a trial by jury and to have a Dispute heard in court, except as provided in this section.

Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.

No class or collective proceedings

You and alani capital agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding.

Opt-out

You may opt out of the arbitration and class-waiver provisions above by emailing legal@alanicapital.com with the subject line "Arbitration opt-out" within 30 days of first using the Site or first making a Submission, whichever is earlier. If you opt out, or if the arbitration provisions are found unenforceable, any Dispute will be brought exclusively in the state or federal courts located in Honolulu, Hawaii, and you consent to their personal jurisdiction and venue.

Any Dispute must be brought within one year after the claim arises, or it is permanently barred.

12. Privacy policy

This section describes what personal data we collect through the Site and from Submissions, how we use it, and the rights you may have. It applies to visitors to the Site and to anyone who sends us information.

What we do not collect

The Site sets no cookies, uses no analytics, and loads no third-party scripts, pixels, fonts or embeds. It does not track you across sites and does not build a profile of you. We do not sell personal data and have not sold it. We do not knowingly collect personal data from anyone under 18; if you believe we have, contact us and we will delete it.

We use the information you send us to consider and respond to you, to evaluate Submissions and opportunities, to maintain our records, to comply with legal obligations, and to protect our rights. We use server logs to operate, secure and improve the Site. We may retain information you send us for as long as it is relevant to our business, which for a Submission may be indefinitely, including so that we can demonstrate what we had received and when.

Who we share it with

Your rights

Depending on where you live, you may have the right to ask what personal data we hold about you, to receive a copy, to have it corrected or deleted, or to object to or restrict certain processing. To exercise a right, email legal@alanicapital.com. We will need to verify your identity, and we will respond within the time the applicable law requires. We will not discriminate against you for exercising a right. Deleting a Submission does not undo any use we have already made of it under section 2.

International visitors

The Site is operated from the United States and information is stored and processed there. If you access the Site or send us information from elsewhere, you understand it will be transferred to and processed in the United States, where data-protection laws may differ from those in your jurisdiction.

Security

We take reasonable measures to protect information, but no transmission over the internet and no storage system is completely secure. To the fullest extent permitted by law, we are not responsible for the theft, loss, alteration or unauthorized disclosure of information transmitted to or held by us.

Changes

We may revise this privacy policy at any time by posting a revised version here with a new effective date. If we begin collecting materially different data, for example by adding analytics, we will update this section before doing so.

13. General terms

These Terms are the entire agreement between you and alani capital about the Site, the Materials and Submissions, and supersede any prior understanding on those subjects. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest of the Terms will remain in effect. Our failure to enforce a provision is not a waiver of it; a waiver is effective only in writing signed by us. You may not assign these Terms; we may assign them without restriction. The alani capital parties are intended third-party beneficiaries of sections 2, 8, 9, 10 and 11. Sections 2, 5, 8, 9, 10, 11, 12 and 13 survive any termination of your use of the Site.
